Terms of Service

1. Acceptance of Terms

By accessing or using TradeBoxOS ("the Service"), operated by TradeBoxOS ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately stop using the Service. These Terms apply to all users, visitors, and anyone who accesses or uses the Service.

2. Description of Service

TradeBoxOS is a browser extension that integrates with TradingView to provide AI-powered trading tools, including but not limited to strategy building, market research, trade journaling, and analysis features. The Service requires an active TradingView account and a compatible web browser (Google Chrome or Chromium-based browsers).

The Service may include features that are in beta, early access, or experimental stages. These features are provided on an as-is basis and may be modified, suspended, or removed at any time without prior notice.

3. Eligibility

You must be at least 18 years of age to use the Service. By using TradeBoxOS, you represent and warrant that you: (a) are at least 18 years old, (b) have the legal capacity to enter into these Terms, (c) are not barred from using the Service under any applicable laws, and (d) will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

4. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) provide accurate and complete information when creating your account, (b) promptly update your account information if it changes, (c) notify us immediately of any unauthorized use of your account or any other security breach, and (d) ensure you log out from your account at the end of each session. We shall not be liable for any loss or damage arising from your failure to comply with this section.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
• Use the Service to manipulate markets, engage in market abuse, insider trading, or any form of fraudulent financial activity
• Resell, redistribute, sublicense, or commercially exploit access to the Service without our prior written consent
• Use the Service to transmit any viruses, malware, or other harmful code
• Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our express written permission
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service

6. Intellectual Property

All content, features, and functionality of TradeBoxOS, including but not limited to software, algorithms, text, graphics, logos, icons, images, audio, video, data compilations, and the design, selection, and arrangement thereof, are the exclusive property of TradeBoxOS or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal, non-commercial trading purposes, subject to these Terms. This license does not include the right to modify, reproduce, distribute, or create derivative works from the Service.

7. User-Generated Content

Any strategies, configurations, journal entries, or data you create within TradeBoxOS remain your intellectual property. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and display this content solely for the purpose of providing and improving the Service for you. We do not claim ownership over your trading strategies, journal entries, or personal data.

You represent and warrant that you have all necessary rights to any content you submit through the Service and that such content does not infringe upon the intellectual property or other rights of any third party.

8. Financial Disclaimer

TradeBoxOS is NOT a registered investment advisor, broker-dealer, financial analyst, financial institution, or financial planner. Nothing provided by the Service constitutes financial advice, investment advice, trading advice, or any other form of professional advice. The Service is a tool for informational and educational purposes only.

You expressly acknowledge and agree that:

• Trading and investing in financial markets involves substantial risk of loss and is not suitable for all individuals
• Past performance of any strategy, signal, analysis, or tool is not indicative of future results
• You are solely responsible for your own trading and investment decisions and for any financial gains or losses that result
• You should consult with a qualified, licensed financial advisor before making any investment decisions
• No representation is being made that any account will or is likely to achieve profits or losses similar to any examples shown
• The use of TradeBoxOS does not guarantee any particular financial outcome

9. AI Output Disclaimer

The Service utilizes artificial intelligence and machine learning technologies to generate strategies, analyses, and other outputs. You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or omissions
• AI models are probabilistic in nature and their outputs should not be treated as definitive or guaranteed
• Backtest results are based on historical data and do not predict or guarantee future performance
• You must independently verify all AI-generated information, strategies, and analysis before acting on them
• AI outputs do not constitute financial, investment, legal, tax, or any other form of professional advice
• We make no representations or warranties regarding the accuracy, reliability, or completeness of any AI-generated content

10. No Guarantees

We do not guarantee the accuracy, completeness, timeliness, reliability, or suitability of any information, analysis, strategy output, or other content provided by the Service. You should independently verify all information before making any trading or investment decisions. Market conditions change rapidly, and information that was accurate at one point may become outdated or incorrect.

11. Third-Party Services

TradeBoxOS integrates with TradingView and utilizes third-party services to operate, including but not limited to: Vercel (hosting), Supabase (data storage and authentication), Vercel Analytics (website analytics), and Stripe (payment processing). We are not responsible for the availability, accuracy, reliability, or content of any third-party services. Your use of TradingView is subject to TradingView's own terms of service and privacy policy. We are not affiliated with, endorsed by, or officially connected to TradingView or any of its subsidiaries or affiliates.

The Service may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for the content, products, or services offered by third parties.

12. Service Availability

We strive to keep TradeBoxOS available at all times but do not guarantee uninterrupted, timely, or error-free access. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

13. Fees and Payment

Certain features of the Service may require payment. If applicable, pricing and payment terms will be presented to you before you incur any charges. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change our pricing at any time, with reasonable notice to existing subscribers.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEBOXOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless TradeBoxOS, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law or the rights of any third party, (d) any content you submit or transmit through the Service, or (e) your trading activities and financial decisions.

17. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the courts, as applicable under the governing law specified in Section 20.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against TradeBoxOS, except for claims that may be brought in small claims court where applicable.

18. Modifications to Terms

We reserve the right to update or modify these Terms at any time. We will notify users of material changes by: (a) posting a notice on our website, (b) updating the "Last updated" date at the top of this page, or (c) sending a notification through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Service.

19. Termination

We may terminate or suspend your access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to conduct that we believe: (a) violates these Terms, (b) is harmful to other users, us, or third parties, or (c) is fraudulent or illegal. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the Netherlands for the resolution of any disputes arising under these Terms.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity and enforceability of the remaining provisions.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TradeBoxOS regarding the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral, written, or electronic, between you and TradeBoxOS regarding the Service.

23. Waiver

The failure of TradeBoxOS to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by TradeBoxOS.

24. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. TradeBoxOS may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be null and void.

25. Force Majeure

TradeBoxOS shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.
